Terms of Service
Please read this agreement carefully before using the SoSouth platform or any services offered through it.

01Agreement & Acceptance
Welcome to SoSouth Distribution ("SoSouth," "we," "us," or "our"), a music distribution platform operated by SoSouth Distribution, LLC, headquartered in Houston, Texas. The following Terms of Service ("Agreement") govern your access to and use of the SoSouth website, artist portal, and all related services (collectively, the "Platform" or "Services").
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety. If you do not agree to these terms, you are prohibited from accessing or using the Platform.
This Agreement applies to all visitors, registered users, and artists who submit content through the Platform.
02Modification of This Agreement
SoSouth reserves the right to revise this Agreement at any time in its sole discretion, without prior individual notice to you, other than by posting the updated Agreement on the Platform. Any revisions become effective immediately upon posting.
It is your responsibility to review this page periodically. Your continued use of the Platform following the posting of any changes constitutes your binding acceptance of the revised Agreement. If you do not agree to the revised terms, you must discontinue use of the Platform.
03Eligibility
You must be at least 18 years of age to use the SoSouth Platform. By using our Services, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements stated in this Agreement.
If you are accessing the Platform on behalf of a company, label, or other legal entity, you represent that you have the authority to bind that entity to this Agreement, and all references to 'you' shall refer to that entity.
SoSouth reserves the right to refuse service, terminate accounts, or cancel distribution agreements at its sole discretion for any reason, including violation of this Agreement.
04Account Registration & Security
To access certain features of the Platform, you must register for an account and provide accurate, complete, and current information. You agree to keep your account information updated at all times.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify SoSouth immediately at info@sosouth.com if you suspect any unauthorized access to or use of your account.
SoSouth shall not be liable for any loss or damage arising from your failure to maintain account security. You are responsible for all activity that occurs under your account, whether or not authorized by you.
Accounts are non-transferable. You may not sell, assign, or transfer your account or any rights under this Agreement to any third party without prior written consent from SoSouth.
05Artist Rights & Content Ownership
You retain full ownership of any music, master recordings, artwork, lyrics, metadata, and other content you upload or submit to SoSouth (collectively, 'Your Content'). This Agreement does not transfer any ownership rights from you to SoSouth.
By submitting Your Content for distribution, you grant SoSouth a non-exclusive, royalty-free, worldwide, sublicensable license to distribute, reproduce, transmit, encode, and make available Your Content through our partner digital service providers (DSPs) solely for the purpose of fulfilling your distribution agreement.
You represent and warrant that: (a) you own or control all rights in Your Content; (b) Your Content does not infringe any copyright, trademark, trade secret, right of publicity, or any other intellectual property or proprietary right of any third party; (c) you have obtained all necessary licenses, clearances, synchronization rights, and mechanical licenses; and (d) Your Content complies with all applicable laws.
SoSouth does not claim any ownership over Your Content. Upon termination of your distribution agreement, the license granted herein shall terminate and SoSouth will initiate removal of Your Content from all DSPs within a commercially reasonable timeframe.
06Distribution Agreement
SoSouth will deliver your approved content to digital streaming and download platforms (DSPs) according to the distribution tier selected at the time of your inquiry and onboarding. Delivery timelines are estimated at 48 hours from submission and are not guaranteed, as they are subject to each DSP's individual intake, review, and publishing processes.
SoSouth reserves the right to reject any submission that: (a) violates our content guidelines or this Agreement; (b) infringes any third-party rights; (c) contains uncleared samples, interpolations, or copyrighted material without authorization; (d) includes metadata that is false, misleading, or improperly formatted; or (e) violates applicable laws or regulations.
SoSouth acts solely as a distributor and is not responsible for editorial decisions made by individual DSPs, including playlist placement, algorithmic recommendations, or content removal by those platforms.
You are solely responsible for submitting accurate release dates, ISRC codes, UPC/EAN barcodes, and all other required metadata. SoSouth is not liable for distribution errors, misattributed royalties, or delays caused by inaccurate or incomplete metadata.
07Royalties & Payments
Royalties collected on your behalf from DSPs are calculated in accordance with your selected distribution tier and the applicable revenue split in effect at the time of distribution. SoSouth will provide monthly royalty statements accessible through your artist portal.
Royalties are paid out at the end of each calendar month through your confirmed payment method on file, which may include Cash App, ACH direct deposit to your bank account, or check. You are responsible for maintaining accurate and current payment information.
SoSouth is not responsible for inaccuracies in royalty data reported by third-party DSPs. DSP reporting timelines vary and may result in royalties appearing in subsequent payment cycles.
All royalty disputes must be submitted in writing to info@sosouth.com within 90 days of the applicable statement date. Disputes submitted after this period will not be accepted. SoSouth will investigate all disputes in good faith and respond within 30 business days.
SoSouth reserves the right to withhold royalty payments pending the resolution of any dispute, rights claim, or suspected fraudulent activity associated with your account.
08Prohibited Conduct
You agree not to use the Platform for any purpose that is unlawful, harmful, or prohibited by this Agreement. Prohibited conduct includes, but is not limited to:
Submitting content that infringes any copyright, trademark, trade secret, or other proprietary right; distributing content containing uncleared samples or interpolations; uploading malware, viruses, or any code intended to disrupt or harm the Platform or its users.
Manipulating streaming data through artificial means, including the use of bots, click farms, stream manipulation services, or any other method intended to fraudulently inflate streaming counts or royalty payouts.
Providing false, misleading, or fraudulent account information; impersonating any person or entity; or misrepresenting your affiliation with any artist, label, or rights holder.
Attempting to gain unauthorized access to any portion of the Platform, other user accounts, or SoSouth's internal systems. Reverse engineering, decompiling, or disassembling any part of the Platform.
Violation of any of the above prohibitions may result in immediate account suspension or termination, forfeiture of unpaid royalties, and civil or criminal liability where applicable.
09User-Generated Content & Third-Party Links
The Platform may allow users to submit biographical information, artist profiles, press materials, and other content ('User Content'). You are solely responsible for all User Content you submit and you represent that it does not violate any third-party rights or applicable law.
SoSouth does not endorse or assume responsibility for any User Content submitted by artists or third parties. We reserve the right to remove any User Content at our discretion without notice.
The Platform may contain links to third-party websites, DSPs, or services. These links are provided for convenience only. SoSouth does not control or endorse those third-party sites and is not responsible for their content, privacy practices, or terms of service. Your use of third-party sites is at your own risk.
10DMCA & Copyright Infringement
SoSouth respects the intellectual property rights of others and expects users of the Platform to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and will respond to notices of alleged copyright infringement that comply with the DMCA.
If you believe that content distributed through the SoSouth Platform infringes your copyright, you may submit a written notice of claimed infringement to info@sosouth.com that includes: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the infringing material and information sufficient to locate it; (c) your contact information, including name, address, telephone number, and email address; (d) a statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or applicable law; (e) a statement, under penalty of perjury, that the information in your notification is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf; and (f) your physical or electronic signature.
Counter-Notice: If you believe that a copyright notice has been improperly filed against your content, you may submit a counter-notification to info@sosouth.com containing: (a) your name, address, telephone number, and email address; (b) identification of the removed material and its former location; (c) a statement under penalty of perjury that you have a good faith belief the material was removed by mistake or misidentification; (d) a statement that you consent to the jurisdiction of the Federal District Court for the Southern District of Texas, Houston Division; and (e) your physical or electronic signature.
SoSouth reserves the right to terminate accounts of users who are repeat infringers.
11Disclaimer of Warranties
THE PLATFORM AND ALL SERVICES PROVIDED BY SOSOUTH ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SoSouth does not warrant that: (a) the Platform will be uninterrupted, error-free, or secure; (b) any defects will be corrected; (c) the Platform or the servers that make it available are free of viruses or other harmful components; or (d) the results of using the Platform will meet your expectations.
No oral or written information or advice provided by SoSouth or its representatives shall create a warranty not expressly stated in this Agreement.
12Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOSOUTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM OR SERVICES.
IN NO EVENT SHALL SOSOUTH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL FEES PAID BY YOU TO SOSOUTH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so some of the above limitations may not apply to you.
13Indemnification
You agree to indemnify, defend, and hold harmless SoSouth and its officers, directors, employees, contractors, agents, licensors, and partners from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) Your Content and any claim that Your Content infringes the rights of any third party; (b) your use of or inability to use the Platform; (c) your breach of any representation, warranty, or obligation under this Agreement; (d) your violation of any applicable law or regulation; or (e) any fraudulent, negligent, or willful misconduct by you.
14Termination
Either party may terminate this Agreement and the associated distribution relationship with 30 days' written notice. Notice from you must be submitted in writing to info@sosouth.com.
SoSouth may suspend or terminate your account and access to the Platform immediately, without prior notice, if you breach any provision of this Agreement, engage in prohibited conduct, or if SoSouth reasonably believes that continued access poses a risk to the Platform, other users, or third parties.
Upon termination: (a) your license to use the Platform terminates immediately; (b) SoSouth will initiate content takedowns from all DSPs within a commercially reasonable timeframe (typically 4–8 weeks, subject to DSP processing times); and (c) royalties earned and confirmed prior to the termination date will be paid on the next scheduled payment cycle.
15Dispute Resolution
Before initiating any formal legal proceeding, both parties agree to attempt in good faith to resolve any dispute through direct negotiation. Either party may initiate this process by sending written notice to the other party describing the dispute and the resolution sought.
If the dispute cannot be resolved through negotiation within 30 days, the parties agree to resolve the matter through binding arbitration administered under the rules of the American Arbitration Association (AAA) in Houston, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. Nothing in this section limits SoSouth's ability to terminate accounts or restrict platform access pursuant to this Agreement.
16Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. To the extent arbitration does not apply, any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Houston, Harris County, Texas, and you hereby irrevocably consent to the personal jurisdiction and venue of those courts.
17Miscellaneous
Entire Agreement: This Agreement, together with any additional policies incorporated by reference (including our Privacy Policy, Cookie Policy, and Submission Disclaimer), constitutes the entire agreement between you and SoSouth regarding the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings.
Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Waiver: No failure or delay by SoSouth in exercising any right, power, or privilege under this Agreement shall operate as a waiver. No single or partial exercise of any right shall preclude any other or further exercise thereof.
Assignment: You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of SoSouth. SoSouth may freely assign this Agreement, including all rights granted by you, in connection with a merger, acquisition, sale of assets, or operation of law.
No Agency: Nothing in this Agreement shall create or be deemed to create a partnership, joint venture, agency, employment, or fiduciary relationship between you and SoSouth.
Headings: Section headings in this Agreement are for convenience only and shall not affect the interpretation of any provision.
